Board of Trustees
Objective:
(From St. Paul's Church Constitution)
This Board
shall serve as the representative of the congregation in all legal matters.
It shall oversee the maintenance, repair, and protection of all church property.
The Board of Trustees shall:
- Administer the property of
the congregation as a trust in the name of the congregation.
- Negotiate contracts; sign
documents; accepts trusts, bequests and memorials; appear in court; and
borrow money to meet budgetary needs. The Congregational Assembly may
designate one or more trustee(s) to act on their behalf in legal matters.
- Keep all official papers
of the congregation such as deeds, abstracts, notes, mortgages, blueprints
and church records.
- Prepare and update an
annual inventory of property and equipment.
- Conduct an inspection of
property and equipment twice a year so recommendations for repair,
replacement, or new purchases can be made.
- Establish a long term
repair and replacement program.
- Carry out any resolutions
from the Congregational Assembly concerning purchases and/or repairs.
- Take emergency action when
necessary and then report these actions to the next Congregational Assembly.
- Carry adequate insurance
on all properties and keep a current schedule of these policies.
- Establish and administer
regulations for the use of church properties and equipment.
- Review disbursements, as
paid by the Financial Administrator, for any improper expenditures.
- Produce and issue keys for
church properties and establish a key register that is reviewed annually.
- Hire and supervise all
paid personnel not covered by the Board of Christian Education (School)
such as Custodians and Church Secretaries.
- Hire, and provide a job
description for the Financial Administrator. This position shall be
bonded, as are the positions of Treasurer and Assistant Treasurer.
- Recognize its fiduciary
obligation and responsibility to the congregation, and realize that the
financial resources may not always be able to support the current staff.
Therefore, this board is authorized to develop and implement a plan for the
reduction in staff of paid personnel who are under their supervision.
- Consist of 9 members, with
each member serving a 3 year term of office. Three board members shall
be elected each year and a member may not succeed himself for one additional
term.
- Meet during the month of
June to re-organize for the coming year. All out-going and
newly-elected members shall be present to insure a continuity of programs
and activities.
- Elect one member to serve
as Director, one member to serve as Secretary, and one member to serve on
the Board of Compensation. The Director shall also serve as a member
of the Parish Planning Council. The Secretary shall keep a permanent
set of minutes of each meeting and such minutes shall be the property of the
congregation. A copy of the minutes shall also be given to the
President of the congregation.
- Establish job descriptions
and responsibilities for each member of this Board.
- Submit an annual budget as
requested by the Parish Planning Council and the Financial Administrator.
- Request a financial review,
if necessary, from any organization, group or committee for which it is
responsible.
- Present a report of its
activities at each regular meeting of the Congregational Assembly.
